Botswana has spent two decades trying to diversify an economy built on diamonds, and manufacturing is where most of that policy effort has gone. For an industrial investor that is useful, because it means the incentives are real and the institutions are set up to help rather than merely to regulate.

Three things define the landscape. Manufacturing is licensed separately from trading, under the Industrial Development Act 2019. Manufacturers are taxed at a reduced rate of 15 percent against the standard corporate rate. And the Special Economic Zones regime layers substantially better treatment on top for export-oriented operations.

The strategic point to absorb early: Botswana's domestic market is roughly 2.6 million people. A manufacturing business designed to serve it alone is designed small. The incentive regime is built around export, and so should your business case be.

Industrial licensing, and how it differs from a trade licence

Trading and manufacturing are licensed under different Acts, and the distinction turns on what the operation actually does rather than what it calls itself.

  • Trade licence. Under the Trade Act 2019, issued over the counter by the Town or District Council, for buying and selling. See business registration and licensing.
  • Industrial licence. Under the Industrial Development Act 2019, administered through the Ministry of Trade and Entrepreneurship, for manufacturing and industrial activity.

Both Acts commenced together as part of the same reform, which abolished the old Licensing Committees and moved to over-the-counter issuance to reduce turnaround times.

Some businesses need both. A manufacturer with its own retail outlet is carrying on two licensable activities. Establishing which licences a specific operation needs, before committing to premises, avoids the common problem of a facility that is correctly built and incorrectly licensed.

Note also that the citizen reservation under the Trade Act attaches to specified trade categories, largely consumer-facing retail and services. Manufacturing and industrial activity is generally not among the reserved categories, which makes it one of the more open routes for foreign investment in Botswana. Confirm the current schedule for your specific activity rather than assuming.

Special Economic Zones: eight zones, and what they change

The Special Economic Zones Authority was established in 2015 to support and manage the development of Botswana's eight special economic zones, to assist economic diversification by developing trade and investment, and to provide services to foreign direct investors. It also functions as a one-stop shop, offering administrative and business support to enterprises establishing in the country.

Qualifying for the zone regime

SEZ incentives are available to an investor who meets one of the following:

  • Has been licensed by the SEZ Authority to conduct business in a special economic zone; or
  • Exports 100 percent of goods or services, or has been exempted from that 100 percent requirement by the Minister responsible for trade under the SEZ regulations; or
  • Undertakes within a zone any approved development project or activity and has been granted the tax relief by the Minister.

The 100 percent export condition, and the ministerial exemption from it, is the pivot for most real businesses. Very few manufacturers export literally everything, so for many projects the practical route is either an SEZ licence or a ministerial exemption, and which one applies should be established before the investment decision rather than after the factory is built.

Two things to confirm rather than assume, and both are material to a financial model. First, official sources disagree on whether the initial reduced corporate tax rate runs for five years or ten. Second, the exemption from the 100 percent export requirement is a ministerial decision, not an entitlement. Confirm both with SEZA and BURS for your specific investment.

What Botswana is trying to manufacture

The diversification agenda points at sectors where Botswana has an input advantage, a regional market, or both:

  • Mineral processing and beneficiation. The obvious one, and the most strategically supported. Adding value to minerals before export is the central diversification objective, and the Diamond Hub within the Ministry of Minerals and Energy exists for exactly that. See mining.
  • Construction materials. Cement, aggregates, bricks, steel fabrication. Demand comes from the region's infrastructure programmes, and inputs come from quarrying.
  • Food and beverage processing. Including beef, where Botswana has a long-established export position.
  • Packaging. An input industry that grows with everything else on this list, and often a better first investment than the product industries it serves.
  • Energy products and equipment. Assembly and manufacturing tied to the region's solar build-out. See energy and green economy.

  • Industrial services. Maintenance, fabrication and specialist services to the mining and energy sectors, which is often the fastest route to revenue.

Setting up: the sequence

The order matters because the environmental step gates the licence, and the SEZ decision changes the tax basis of the whole model.

  1. Business case and export strategy

    Built for a regional or export market rather than a domestic one of 2.6 million people, because that is what the incentive regime rewards and what the numbers require.

  2. SEZ positioning

    Establish whether the project can be licensed by SEZA, meets the export condition, or needs a ministerial exemption. This decision changes the tax rate and therefore the model.

  3. Company registration

    CIPA incorporation online, and BURS registration for tax.

  4. Site and premises

    Inside a zone or outside it, with land tenure, services, access and, on tribal land, the Land Board process.

  5. Environmental authorisation

    Industrial and manufacturing operations are prescribed activities, and section 5(1) of the Environmental Assessment Act 2011 prevents a licence being issued without authorisation. See environmental compliance.

  6. Industrial licence

    Under the Industrial Development Act 2019, plus a trade licence where the business also sells directly.

  7. Plant, equipment and imports

Is the domestic market big enough?
